ASSIGNMENT/TRANSFER/SUBCONTRACTING. The Company reserves the right to assign, transfer and/or subcontract, all or part of the rights and obligations arising from the Agreement, without prior notice to the Beneficiary . The Beneficiary cannot use this as ground to claim the termination of the Agreement due to the Company . The Beneficiary is not authorized to assign, transfer and/or subcontract, in any way whatsoever, its rights and obligations under the Agreement without the Company’s prior written consent.

ASSIGNMENT/TRANSFER/SUBCONTRACTING. Except as contemplated by this Agreement, the Grantee shall not assign, transfer, convey, subcontract, or otherwise dispose of any duties or rights under this Agreement without the prior specific written consent of the MEDC. The MEDC expressly permits the subcontracting of duties related to this Agreement for the performance of the scope of work. Any future successors of the Grantee will be bound by the provisions of this Agreement unless the MEDC otherwise agrees in a specific written consent.

ASSIGNMENT/TRANSFER/SUBCONTRACTING. Awarded Contractor shall not assign, transfer, or subcontract any portion of the contract without the express written consent of the department. Any award issued pursuant to this RFP, and the monies, which may become due hereunder, are not assignable without the prior written approval of the County.

ASSIGNMENT/TRANSFER/SUBCONTRACTING. The CONTRACTOR may not assign or in any manner transfer this Agreement, or any part or parts hereof, or interest therein, or subcontract for any Services, equipment or operations, without the prior written consent of the AIRPORT AUTHORITY, by its Chief Executive Officer. Consent by the AIRPORT AUTHORITY to one or more assignments of this Agreement will not operate to exhaust the AIRPORT AUTHORITY’s rights under this Section. Any assignee(s) approved by the AIRPORT AUTHORITY must assume all obligations and perform all professional Services pursuant to the Agreement.

Contractor agrees that any of Contractor’s future successors or subcontractors will be bound by the provisions of this Agreement, unless the MSF otherwise agrees in a specific written consent. The MSF reserves the right to approve subcontractors for this Agreement and to require Contractor to replace subcontractors who are found to be unacceptable to the MSF or the MEDC.
