Common use of Assignments and Transfers by Purchasers Clause in Contracts

Assignments and Transfers by Purchasers. The provisions of this Agreement shall be binding upon and inure to the benefit of the Purchasers and their respective successors and assigns. A Purchaser may transfer or assign, in whole or from time to time in part, to one or more persons its rights hereunder in connection with the transfer of Registrable Securities by such Purchaser to such person, provided that (i) (A) such person is an Affiliate of such Purchaser or (B) immediately upon completion of any such transfer, the transferee holds at least 5% of the Registrable Securities, (ii) such Purchaser complies with all laws applicable thereto and provides written notice of assignment to the Corporation promptly after such assignment is effected and (iii) the transferee agrees in writing to be bound by this Agreement as if it were a party hereto.
