Assignments by the Borrower. The rights of the Borrower hereunder are declared to be purely personal and may therefore not be assigned or transferred, nor can the Borrower assign or transfer any of its obligations, any such assignment being null and void insofar as the Lender is concerned and rendering any balance then outstanding of the Principal at Maturity immediately due and payable at the option of the Lender.
Assignments by the Borrower. The Borrowers may not assign or transfer all or any part of its rights or obligations hereunder without the prior written consent of the Lender.
Assignments by the Borrower. The Borrower may not assign any of its rights or transfer any of its rights or obligations under this Agreement.
Assignments by the Borrower. The Borrower cannot assign any of its rights under any Transaction Document without the prior written consent of the Facility Agent acting with the approval of all the Banks.
Assignments by the Borrower. 10.1 Neither party may assign any of its rights or obligations under this Agreement without the prior written consent of the other party.
Assignments by the Borrower. The Borrower may not assign any of its rights or obligations hereunder or under the Notes without the prior consent of the Lender and any such assignment in contravention of the terms hereof shall be null and void.
Assignments by the Borrower. The Consenting Party confirms that the prohibition on assignments in Section 12.01 of the Assigned Agreement applies to assignments of the Assigned Agreement by the Consenting Party and by the Borrower and not to transfers of partnership interests in the Borrower, provided that PECO does not waive any right it may have to contend that transfers after the date of this Consent of more than fifty percent (50%) of the partnership interests of the Borrower to parties that are not in common control with a Sponsor as of the date of this Consent is prohibited by Section 12.01.
Assignments by the Borrower. Without the prior written consent of all of the Lenders, no Obligor may assign any of its rights or delegate any of its duties or obligations under this Agreement or any other Loan Document.
Assignments by the Borrower. By its execution and delivery of this Amendment, each of the Borrowers and the Guarantor, by its consent hereto, hereby consent and agree that (a) the Assignments (other than the Assignments listed in Section 5) and the Pledge (to the extent that it has not been released hereby) shall remain in full force and effect and (b) to the extent such Assignments and Pledge have not been specifically amended in connection with the transactions contemplated hereby, all references in such documents to the Credit Agreement shall be deemed to refer to the Credit Agreement as amended hereby.
Assignments by the Borrower. The Borrower shall not have the right to assign this Agreement or any interest therein, and hereby agree that no Person other than the Borrower shall have any interest in this Agreement or the proceeds of the Loan.
