ASSIGNMENTS, ETC. The Employee shall not transfer, assign, anticipate, mortgage, or otherwise encumber in advance any of the benefits payable hereunder. The Employee agrees that the Company may assign this Agreement to the Parent or any of its subsidiaries, and this Agreement shall be binding upon the parties hereto, their heirs, executors, administrators, successors or assigns.
ASSIGNMENTS, ETC. (a) The Borrower shall have no right of assignment under this Agreement without the prior approval of the Lender.
(b) The Lender may securitise, assign, transfer or novate any of its rights and obligations under this Agreement, and or under the loan/security documents and the Borrower shall take such action as may be necessary to perfect such transaction.
ASSIGNMENTS, ETC. 10.1 The Lender may assign and transfer all of its rights and obligations under this Loan Agreement, following the prior written consent by the Borrower, which shall not be unreasonably withheld or delayed, provided that such assignment will not give rise to any additional costs for the Borrower.
10.2 The Borrower may not assign or transfer any part of its rights, benefits or obligations under this Loan Agreement.
ASSIGNMENTS, ETC. Except as otherwise permitted under Section 16.2 or Section 16.3 hereof, and subject to the terms of any Fee Mortgage and the Regulatory Agreement between HUD and Tenant, Tenant shall not assign this Lease or any of Tenant's interest hereunder, or sublease any portion of the Premises, without the prior written consent of the Landlord which consent shall be in Landlord's sole and absolute discretion. For purposes hereof, the transfer of any direct or indirect interest in Tenant shall constitute an assignment of this Lease.
ASSIGNMENTS, ETC. The provisions of this Agreement are hereby made applicable to and shall inure to the benefit of CNB's successors and assigns and bind Debtor's heirs, legatees, devisees, administrators, executors, successors and assigns.

(a) The Seller shall, on or prior to any Purchase Date with respect to the Transferred Loans, execute and deliver to the Buyer a written assignment from Seller to the Buyer substantially in the form of Exhibit A hereto. ASSIGNMENTS, ETC. 16.1 The Security Agent may, on its own behalf and on behalf of the other Beneficiaries, assign and transfer all of its respective rights and obligations under this Agreement in accordance with the Facility Agreement.
16.2 The Pledgor may not assign or transfer any part of its rights, benefits or obligations under this Agreement.
ASSIGNMENTS, ETC. 22.1 The Administrative Agent The Administrative Agent may assign and transfer all of its respective rights and obligations hereunder to a replacement Administrative Agent appointed in accordance with the terms of the Facility Agreement. Upon such assignment and transfer taking effect, the replacement Administrative Agent shall be and be deemed to be acting as Administrative Agent for the Secured Parties for the purposes of this Mortgage in place of the old Administrative Agent.
ASSIGNMENTS, ETC. On the Agent's request therefor, each Borrower shall furnish to the Agent copies of invoices to customers and shipping and delivery receipts or warehouse receipts thereof. Each Borrower shall deliver to the Agent the originals of all letters of credit, notes, and instruments in its favor and such endorsements or assignments as the Agent may reasonably request.
