ASSIGNMENTS, ETC. The Employee shall not transfer, assign, anticipate, mortgage, or otherwise encumber in advance any of the benefits payable hereunder. The Employee agrees that the Company may assign this Agreement to the Parent or any of its subsidiaries, and this Agreement shall be binding upon the parties hereto, their heirs, executors, administrators, successors or assigns.
ASSIGNMENTS, ETC. (a) The Borrower shall have no right of assignment under this Agreement without the prior approval of the Lender.

Except as otherwise permitted under Section 16.2 or Section 16.3 hereof, and subject to the terms of any Fee Mortgage and the Regulatory Agreement between HUD and Tenant, Tenant shall not assign this Lease or any of Tenant's interest hereunder, or sublease any portion of the Premises, without the prior written consent of the Landlord which consent shall be in Landlord's sole and absolute discretion. For purposes hereof, the transfer of any direct or indirect interest in Tenant shall constitute an assignment of this Lease.
ASSIGNMENTS, ETC. 10.1 The Lender may assign and transfer all of its rights and obligations under this Loan Agreement, following the prior written consent by the Borrower, which shall not be unreasonably withheld or delayed, provided that such assignment will not give rise to any additional costs for the Borrower.

(a) The Seller shall, on or prior to any Purchase Date with respect to the Transferred Loans, execute and deliver to the Buyer a written assignment from Seller to the Buyer substantially in the form of Exhibit A hereto. ASSIGNMENTS, ETC. Except as expressly provided in Section 5.04(a) or except in the case of the Lessee's grant of an Approved IRU, the Lessee shall not mortgage, pledge, assign or otherwise encumber its interest in and to this Lease or in and to any IRU or the rentals payable thereunder without the prior written consent of the Lessor. Any mortgage, pledge or assignment of the Lessee's interest hereunder or under any such IRU granted, otherwise than as expressly permitted by this Section 6.08, shall be null and void and of no force or effect. A Change in Control of Lessee by merger, consolidation or any other means, or any assignment by operation of law shall be deemed an assignment requiring the Lessor's prior written consent.
