Assignments of Units. A. Subject to the provisions of Section 8.4, no Unit Holder may assign, sell, transfer or exchange his Units without the approval of the General Partner. In exercising its obligations under this Section 8.1A, the General Partner shall use its best effort to ensure that the terms of transfer are not in contravention of any of the provisions of this Agreement and shall not approve any transfer:
