Common use of Assignments, Successors and Assignees Clause in Contracts

Assignments, Successors and Assignees. All representations, warranties, covenants and agreements of the parties shall bind their respective heirs, executors, personal representatives, successors and assignees ("transferees") and shall inure to the benefit of their respective permitted transferees. Neither party shall have the right to assign any or all of its rights or to delegate any or all of its obligations hereunder without the prior written consent of the other party.
