Common use of Assignments; Third Party Beneficiary Clause in Contracts

Assignments; Third Party Beneficiary. This Intercreditor Agreement shall be a continuing obligation of the Borrower and shall (i) be binding upon the Borrower and its successors and assigns and (ii) inure to the benefit of and be enforceable by the Facility Agent, and by its successors, transferees and assigns. The Borrower may not assign any of its obligations under this Intercreditor Agreement, or delegate any of its duties hereunder. Each Hedge Provider and each provider of an Eligible Liquidity Facility shall be a third party beneficiary of this Intercreditor Agreement.
