ASSIGNOR'S DUTIES, ETC. The Assignor shall have the duty, through ---------------------- patent counsel reasonably acceptable to the Agent, to prosecute diligently any patent applications of the Patents pending as of the date of this Patent Agreement or thereafter, to make application for unpatented but reasonably patentable inventions and to preserve and maintain all rights in the Patents, including without limitation the payment when due of all maintenance fees and other fees, taxes and other expenses which shall be incurred or which shall accrue with respect to any of the Patents. Any expenses incurred in connection with such applications and actions shall be borne by the Assignor. The Assignor shall not abandon any filed patent application, or any pending patent application or patent, without the consent of the Agent, which consent shall not be unreasonably withheld. The Agent hereby appoints the Assignor as its agent for all matters referred to in the foregoing provisions of this (S)6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Agent may terminate such agency by providing written notice of termination to the Assignor.

The Assignor shall not abandon any filed patent application, or any pending patent application or patent, without the consent of the AgentLender, which consent shall not be unreasonably withheld, other than any Patent Collateral to the extent that it is no longer used or useful in the conduct of the Assignor's business. The Agent Lender hereby appoints the Assignor as its agent for all matters referred to in the foregoing provisions of this (S)6 ss.6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Agent Lender may terminate such agency by providing written notice of termination to the Assignor.

The Assignor shall not abandon any filed patent application, or any pending patent application or patent, without the consent of the AgentBank, which consent shall not be unreasonably withheld. The Agent Bank hereby appoints the Assignor as its agent for all matters referred to in the foregoing provisions of this (S)6 Section 6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Agent Bank may terminate such agency by providing written notice of termination to the Assignor. The Bank shall not unreasonably delay in responding to any written inquiry as to the acceptability of patent counsel pursuant to this Section 6.2 or the abandonment of any patent application.

The Assignor shall have the duty, consistent with its reasonable business judgment; through ---------------------- qualified patent counsel reasonably acceptable to the Agentcounsel, to prosecute diligently any patent applications of the material Patents pending as of the date of this Patent Agreement or thereafterthereafter that constitute material Pledged Patents, to make application for unpatented but reasonably patentable inventions and to preserve and maintain all rights in the material Pledged Patents, including without limitation the payment when due of all maintenance fees and other fees, taxes and other expenses which shall be incurred or which shall accrue with respect to any of the material Pledged Patents. Any expenses incurred in connection with such applications and actions shall be borne by the Assignor. The Except in the exercise of its reasonable business judgment, the Assignor shall not abandon any filed patent application, or any pending patent application or patent, without the consent of the Administrative Agent, which consent shall not be unreasonably withheld. The Administrative Agent hereby appoints the Assignor as its agent for all matters referred to in the foregoing provisions of this (S)6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Administrative Agent may terminate such agency by providing written notice of termination to the Assignor.

Any expenses incurred in connection with such applications and actions shall be borne by the AssignorAssignors. The Assignor Assignors shall not abandon any filed patent application, or any pending patent application or patent, without the consent of the AgentBank, which consent shall not be unreasonably withheld. The Agent Bank hereby appoints the Assignor Assignors as its agent for all matters referred to in the foregoing provisions of this (S)6 Section 6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Agent Bank may terminate such agency by providing written notice of termination to the AssignorAssignors. The Bank shall not unreasonably delay in responding to any written inquiry as to the acceptability of patent counsel pursuant to this Section 6.2 or the abandonment of any patent application.

Any expenses incurred in connection with such applications and actions shall be borne by the Assignor. The Assignor shall not abandon any filed or pending patent application, or any pending patent application trademark registration application, or patent, or trademark without the consent of the AgentAssignee, which consent shall not be unreasonably withheld. The Agent Assignee hereby appoints the Assignor as its agent for all matters referred to in the foregoing provisions of this (S)6 Section 6 and agrees to execute any documents necessary to confirm such appointment. Upon the occurrence and during the continuance of an Event of Default, the Agent Assignee may terminate such agency by providing written notice of termination to the Assignor.
