Common use of Assignor’s Indemnity Clause in Contracts

Assignor’s Indemnity. Assignor hereby agrees to indemnify, protect, defend and hold Assignee harmless from and against any and all claims, demands, liabilities, losses, costs, damages or expenses (including, without limitation, reasonable attorneys’ fees and costs) arising out of or resulting from any breach or default by Assignor under the terms of the Leases and Contracts arising prior to the Effective Date.

Assignor’s Indemnity. Assignor hereby agrees to shall indemnify, protectdefend, defend protect and hold harmless Assignee harmless from and against any and all claims, demandsdamages, liabilities, lossesclaims, costsjudgments, damages or expenses (includingactions, without limitation, reasonable attorneys’ fees fees, consultants’ fees, costs and costs) expenses arising out of or resulting from any breach or default by Assignor under the of any terms or conditions of the Leases and Contracts arising Lease prior to the Effective Date.

Assignor hereby agrees to indemnify, protect, defend indemnify Assignee and hold Assignee harmless from and against any and all claims, demandsloss, liabilitiesdamage, lossesliability, costs, damages cost or expenses expense (including, including without limitation, reasonable attorneys’ attorney’s fees and costs) arising out of or resulting from any breach or default by Assignor under the terms of pertaining to the Leases and Contracts arising or accruing prior to the Effective Transfer Date, but only to the extent such claims, loss, damage, liability, cost or expense are caused or occasioned by the acts or omissions of Assignor.

Assignor’s Indemnity. Assignor hereby agrees to shall indemnify, protect, defend and hold the Assignee harmless from and against any and all claims, demandslosses, liabilities, lossesdamages, costscosts and obligations, damages or expenses (includingactions or claims in respect thereof, without limitationincluding reasonable counsel fees, reasonable attorneys’ fees and costs) which the Assignee may suffer or incur arising out of or resulting from any breach or default by Assignor under the terms of the Leases and Contracts arising prior to the Effective Date.based upon:

Assignor’s Indemnity. Assignor hereby agrees to indemnify, protect, defend shall indemnify Assignee and hold Assignee harmless from and against any and all claims, demands, actions, liabilities, losses, costs, or damages or expenses (including, without limitation, including reasonable attorneys’ ' fees and costs) whatsoever arising out of or resulting from any breach or default by Assignor under relating to the terms Lease and the operation of the Leases and Contracts arising Leased Premises prior to the Effective Datedate hereof.

Assignor’s Indemnity. Assignor hereby agrees to indemnify, protect, defend shall indemnify Assignee and hold Assignee harmless from and against any and all claims, demands, actions, liabilities, losses, costs, or damages or expenses (including, without limitation, including reasonable attorneys’ ' fees and costs) whatsoever arising out of or resulting from any breach or default by Assignor under relating to the terms of License Agreements and the Leases and Contracts arising Licensing Rights prior to the Effective Datedate hereof.

Assignor’s Indemnity. Assignor hereby agrees to shall indemnify, protect, defend and hold the Assignee harmless from and against any and all claims, demandslosses, liabilities, lossesdamages, costscosts and obligations, damages or expenses (includingactions or claims in respect thereof, without limitationincluding reasonable counsel fees, reasonable attorneys’ fees and costs) which the Assignee may suffer or incur arising out of or resulting from based upon the breach of any breach or default by representation of Assignor under the terms of the Leases and Contracts arising prior to the Effective Datecontained in Section 6 this Agreement.
