Common use of Assigns Clause in Contracts

Assigns. This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors, assigns and personal representatives, but neither this Agreement nor any of the rights, interests or obligations hereunder will be assigned by any of the parties hereto without the prior written consent of the other parties, except that Merger Sub may assign any or all of its rights and obligations hereunder to Saturn or any direct or indirect wholly-owned subsidiary of Saturn without the consent of Stockholder or Company, but no such transfer will relieve Merger Sub of its obligations under this Agreement if such subsidiary does not perform the obligations of Merger Sub hereunder.
