Common use of Assistance with Valuation Clause in Contracts

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. The Sub-Adviser acknowledges that the Adviser and the Sub-Adviser may use different pricing vendors which may result in valuation discrepancies.

The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. Notwithstanding the foregoing, the parties acknowledge that the Sub-Adviser is not ultimately responsible for establishing the valuation of the Fund’s investments.

The In accordance with the Procedures, the Sub-Adviser will will, upon request, provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value. The Sub-Adviser will not be responsible for determining the fair value such portfolio holdingsof any instrument held by the Fund.

The Sub-Adviser will provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments or positions held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in for the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. It is acknowledged and agreed that the Sub-Adviser shall not be responsible for such assessments and determinations.

The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator Administrator, or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

The In accordance with the Procedures, the Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in determining whether market quotations are not readily available for securities or other instruments held in the Allocated Portion, and in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdingsvalue.

Assistance with Valuation. The Sub-Adviser will shall use commercially reasonable efforts to provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. Each party acknowledges and agrees that the other party may use different pricing policies and vendors which may result in valuation discrepancies, including with respect to the same positions held by other clients of the Sub-Adviser.

The Sub-Adviser will provide reasonable assistance to the Adviser and the Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. The parties acknowledge that the Sub-Adviser and the Adviser, the Custodian, the Administrator or other recordkeeping agent of the Fund may use different pricing vendors, which may result in valuation discrepancies.

Assistance with Valuation. The Sub-Adviser will will, upon request, provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments or positions held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities instruments or other instruments positions held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. Notwithstanding the foregoing, the Adviser is ultimately responsible for valuing any asset held in the Allocated Portion.

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments Commodity Interests held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

Assistance with Valuation. The Upon request, the Sub-Adviser will provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments or positions held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. The Adviser shall make available or ensure that the Administrator provides to the Sub-Adviser copies of all valuations conducted on behalf of the Allocated Portion.

Assistance with Valuation. The Sub-Adviser will provide reasonable assistance to the Adviser and the Adviser, Custodian, Administrator or similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings.

Assistance with Valuation. The Sub-Adviser will will, upon request, provide reasonable assistance to the Adviser and Adviser, the Custodian, the Administrator or another similar party designated by the Adviser in assessing the fair value of securities or other instruments held in the Allocated Portion for which market quotations are not readily available or for which the Adviser or the Board has otherwise determined to fair value such portfolio holdings. The Adviser shall provide or procure that the Administrator or Arcesium provides to the Sub-Adviser, upon reasonable request, copies of all valuations conducted on behalf of the Allocated Portion.
