The Company shall have delivered to the Purchasers a certificate of the Company executed by the Company's Assistant Secretary, dated as of the Closing Date, attaching and certifying to the truth and correctness of (1) the Certificate of Incorporation, (2) the Bylaws and (3) the resolutions adopted by the Company's Board of Directors in connection with the transactions contemplated by this Agreement.
