Assumed Obligations and Retained Liabilities. Upon the Closing, the Buyer shall assume (and, upon the delivery by Sellers to Buyer of the Assignment, Buyer shall be deemed to have assumed) all of the Assumed Obligations.   • Retained Liabilities The Retained Liabilities shall remain the sole responsibility of and shall be retained, paid, performed and discharged solely by Seller. “Retained Liabilities” shall mean every Liability of Seller other than the Assumed Liabilities, including:
