Attorney's Representations. Executive acknowledges that VeriChip’ counsel, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ & ▇▇▇▇▇▇▇▇▇, P.A., prepared this Agreement on behalf of and in the course of its representation of VeriChip, and that: 1. Executive has been advised to seek the advice of independent counsel; and 2. Executive has had the opportunity to seek and has, in fact, received the advice of independent counsel of his choosing.

Attorney's Representations. A. In order to induce City to enter into this Agreement, ATTORNEY makes the following representations and assurances: 1. ATTORNEY has given CONTRACT ADMINISTRATOR written notice of all conflicts, errors or discrepancies that he has discovered in the Agreement Documents and the written resolution thereof by CONTRACT ADMINISTRATOR is acceptable to ATTORNEY. 2. Attorney's Representations. The Shareholders all acknowledge that Corporation's legal counsel ("Corporate Counsel") prepared this Agreement on behalf of and in the course of his or her representation of the Corporation, and that: (i) the Shareholders have been advised by Corporate Counsel that a conflict exists among their individual interests; and (ii) the Shareholders have been advised by Corporate Counsel to seek the advice of independent counsel; and (iii) the Shareholders have had the opportunity to seek the advice of independent counsel; and (iv) the Shareholders have received no representations from Corporate Counsel about the tax consequences of this Agreement; and (v) the Shareholders have been advised by Corporate Counsel that this Agreement may have tax consequences; and (vi) the Shareholders have been advised by Corporate Counsel to seek the advice of independent tax counsel; and (vii) the Shareholders have had the opportunity to seek the advice of independent tax counsel.
