Common use of AUDIT AND FINAL COST ADJUSTMENT Clause in Contracts

AUDIT AND FINAL COST ADJUSTMENT. Upon State's determination that Consultant has completed Services under this Agreement, State, or its authorized representative, may complete an audit review of the payments made under this Agreement. The Parties understand that the audit may require an adjustment of the payments made under this Agreement. Consultant agrees to reimburse State for any overpayments identified in the audit review, and State agrees to pay Consultant for any identified underpayments.
