Common use of Audit Cooperation Clause in Contracts

Audit Cooperation. After the Closing, Sellers shall, and shall cause their respective Affiliates to, cooperate fully in the preparation of all financial statements determined by Buyer to be necessary to meet its reporting obligations in connection with the consummation of the Transactions contemplated by this Agreement. Sellers shall provide, or cause to be provided to Buyer any records and other information in Sellers’ possession and control and requested by Buyer in connection therewith as well as access to, and the cooperation of, their accountants.

Audit Cooperation. After the Closing, Sellers shall, and shall ----------------- cause their respective Affiliates to, cooperate fully in the preparation of all financial statements determined by Buyer to be necessary to meet its financial and SEC reporting obligations in connection with the consummation of the Transactions contemplated by this Agreement. Sellers shall provide, or cause to be provided to Buyer any records and other information in Sellers’ possession and control and requested by Buyer in connection therewith as well as access to, and the cooperation of, their accountants.

Audit Cooperation. After the Closing, Sellers Seller shall, at Buyer’s sole cost and shall cause their respective Affiliates toexpense with respect to any out-of-pocket costs, reasonably cooperate fully in the preparation of all financial statements determined by Buyer to be necessary to meet its reporting obligations in connection with the consummation of the Transactions contemplated by this Agreement. Sellers , and Seller shall provide, or cause to be provided to Buyer any records and other information in Sellers’ Seller’s possession and control and requested by Buyer in connection therewith as well as access to, and the cooperation of, their Seller’s accountants.
