Buyer and Seller shall cause the independent auditors for Seller to prepare as soon as reasonably practicable after the date hereof audited combined financial statements for the combined operations of Buyer and Seller as may be required to be filed with the SEC in accordance with applicable SEC rules, including Schedule 14C and Form 8-K.
