Unaudited Financial Statements. The School shall prepare and submit its unaudited annual financial statements to the Commission by September 15 of the subsequent fiscal year; provided that the Commission, with reasonable notice to the School, may change the deadline depending on circumstances.
Unaudited Financial Statements. The Acquiring Portfolio shall furnish to the Target Portfolio within ten (10) business days after the Closing Date, an unaudited statement of assets and liabilities and the portfolio of investments and the related statements of operations and changes in net assets as of and for the interim period ending on the Closing Date; such financial statements will represent fairly the financial position and portfolio of investments and the results of its operations as of, and for the period ending on, the dates of such statements in conformity with generally accepted accounting principles applied on a consistent basis during the period involved and the results of its operations and changes in financial position for the periods then ended; and such financial statements shall be certified by the Treasurer of the Acquiring Portfolio as complying with the requirements hereof.
Unaudited Financial Statements. The unaudited financial statements delivered on or before the Closing Date in accordance with Section 4.1(l) and thereafter most recently delivered by Parent in accordance with Section 6.1(a), (i) were prepared in accordance with GAAP consistently applied throughout the period covered thereby, except as otherwise expressly noted therein, and (ii) fairly present in all material respects the financial condition of the Consolidated Group as of the date thereof and their results of operations for the period covered thereby, subject, in the case of clauses (i) and (ii), to the absence of footnotes and to normal year-end audit adjustments.
Unaudited Financial Statements. (a) As soon as reasonably practicable following the Closing Date, Sellers shall deliver to Purchaser (i) unaudited balance sheets of the Business as of the end of the years ended December 31, 2002, 2003 and 2004, and (ii) unaudited statements of operations and cash flows for the Business for the years ended December 31, 2002, 2003 and 2004 (collectively, the “Unaudited Financial Statements”).
(b) The Unaudited Financial Statements will (i) be prepared in accordance with GAAP, consistently applied, (ii) be prepared by Sellers with the assistance of Deloitte & Touche LLP or such other independent public accounting firm as shall be reasonably acceptable to Purchaser (the “Accounting Firm”) and (iii) present fairly, in all material respects, the financial condition of the Business at the dates thereof and the results of operations of the Business for the periods then ended, in each case in accordance with GAAP.
(c) Purchaser will provide Sellers with such assistance as may reasonably be requested by Sellers (or any of them) in connection with the preparation of the Unaudited Financial Statements, including, without limitation, access at all reasonable times to the personnel, properties, books and records of the Business. Purchaser will reimburse Sellers for up to fifty percent (50%) of all cost and expense incurred by Sellers (or any of them) in connection with the preparation of the Unaudited Financial Statements, including, without limitation, all cost and expense of the Accounting Firm; provided, however, that in no event shall Purchaser’s reimbursement obligation hereunder exceed one hundred thousand dollars ($100,000). Purchaser will provide such reimbursement from time to time within thirty (30) days of receipt of any invoice from Sellers (or any of them).
(d) Sellers will provide Purchaser with such assistance as may reasonably be requested by Purchaser in connection with the first audit of the Unaudited Financial Statements conducted by or on behalf of Purchaser, including, without limitation, access at all reasonable times to the personnel, properties, books and records of or related to the Business and in the employ or possession, as applicable, of Sellers (or any of them).
Unaudited Financial Statements. During each year of the term of this Charter, the School agrees to provide the Sponsor with the School’s unaudited financial statements for the year ending June 30. The unaudited financial statements will be presented in the Sponsor’s Superintendent’s Annual Financial Report (SAFR). The SAFR format should be provided by the Sponsor no later than June 17 of each year. The unaudited financial reports should be prepared in accordance with Generally Accepted Accounting Principles. The unaudited financial statements shall be provided to the Sponsor no later than August 15 of each year.
Unaudited Financial Statements. Seller has delivered to the Investor the consolidated balance sheets of Seller (which reflect the financial position of all Subsidiaries and Seller Partnerships), as of March 31, 1997 and the related consolidated statements of operations, cash flows and shareholders' equity for the period then ended (the "UNAUDITED FINANCIAL STATEMENTS"). The Unaudited Financial Statements have been prepared in conformity with GAAP applied on a consistent basis (except for changes, if any, disclosed therein). The Unaudited Financial Statements present fairly, in all material respects, the consolidated financial condition and results of operations of Seller, Subsidiaries and Seller Partnerships as of March 31, 1997.
Unaudited Financial Statements. As soon as reasonably practicable after the Closing Date and in any event not later than 20 days thereafter, Seller shall prepare and deliver to Buyer, at Buyer’s sole cost and expense, (i) the unaudited balance sheet of Seller as of June 30, 2014, (ii) statements of income, changes in shareholders’ equity and cash flow for the period from January 1, 2014 to June 30, 2014 and (iii) monthly statements of income for each month from January 2014 to June 2014 inclusive (the “Post-Closing Unaudited Financial Statements”). The Post-Closing Unaudited Financial Statements shall be prepared in accordance with GAAP, applied on a basis consistent with the unaudited balance sheet of Seller as of May 31, 2014, and the statements of income, changes in shareholders’ equity and cash flow for the period ended May 31, 2014, and shall present fairly the financial condition, results of operations and cash flows of Seller as of the dates thereof and for the periods indicated therein; provided, however, that the Pre-Closing Unaudited Financial Statements may be subject to normal, recurring year-end adjustments and may lack notes. Additionally, Seller shall provide, at Buyer’s sole cost and expense, such other assistance as Buyer may reasonably require in connection with: (i) any future financing activities of Buyer or any of its Affiliates; or (ii) any proposed sale or public offering of American Tire Distributors, Inc. and/or its Affiliates, including the Buyer.
