Common use of Auditor’s Duties Clause in Contracts

Auditor’s Duties. Notwithstanding termination of this Contract and subject to any directions from the Board, the Auditor shall take timely, reasonable, and necessary actions to protect and preserve property in the possession of the Auditor in which DFA has an interest. Upon termination of this Contract, the Auditor shall fully cooperate with the Board and the new Auditor during the transition of the Plan to the new Auditor. The Board and the Auditor will work together in good faith to determine the Auditor’s scope of responsibilities and deliverables. Upon request of the Board, the Auditor shall provide all information maintained by the Auditor in relation to the Plan in a reasonable time frame specified by the Board. Information provided shall be in a usable format, as mutually agreed by the Board and the Auditor. The Auditor shall provide such explanation of the information provided as to facilitate a smooth transition.
