AUDITORS' LETTERS. Promptly upon receipt, copies of any detailed audit reports, management letters or recommendations submitted to the Borrower (or the audit or finance committee of the Borrower) by the Auditors in connection with the accounts or books of the Borrower, or any audit of the Borrower.
AUDITORS' LETTERS. (A) On the date of this Agreement, there having been addressed and delivered to the Underwriters letters, in form and substance satisfactory to the Lead Underwriters, dated the date of this Agreement, from PricewaterhouseCoopers, the independent auditors of the Current Issuer and Funding; and
AUDITORS' LETTERS. Parent and the Company each shall use all reasonable best efforts to cause to be delivered to the other party and such other party's directors a letter of its independent auditors, dated the date on which the Registration Statement shall become effective, and addressed to the other party and such other party's directors, in form and substance customary for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement.
AUDITORS' LETTERS upon the Publication Date and on the Closing Date, there having been delivered to the Managers letters, in form and substance reasonably satisfactory to the Managers, dated the Publication Date in the case of the first letter and dated the Closing Date in the case of the subsequent letters, and addressed to the Managers from Deloitte Touche Tohmatsu, Certified Public Accountants to the Issuer;

The Company shall use its reasonable best efforts to cause to be delivered to Parent a letter of PricewaterhouseCoopers LLP, independent auditors to the Company, dated a date within two business days before the date on which the Registration Statement becomes effective, and addressed to Parent, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement. The Parent shall use its reasonable best efforts to be delivered to the Company a letter of PricewaterhouseCoopers LLP, independent auditors to the Parent, dated a date within two business days before the date on which the Registration Statement becomes effective, and addressed to the Company, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement.
AUDITORS' LETTERS. Promptly following receipt by the Corporation, each audit response letter, accountant's management letter and other written report submitted to the Corporation by its independent public accountants in connection with an annual or interim audit of the books of the Corporation.
AUDITORS' LETTERS. The Company shall furnish copies of any letter, other than routine correspondence or communications, directed to the management of the Company by its auditors or independent accountants, relating to its financial statements, accounting procedures, financial condition, tax returns, or the like, since December 31, 1995.
AUDITORS' LETTERS. The Company shall use its reasonable efforts to cause to be delivered to the Company (with a copy to Parent) a letter of Rooney Xxx Xxxx & Xxxxx, independent auditors to the Company, dated a date within two business days before the date on which the Proxy Statement is first mailed to the Company stockholders, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with Securities and Exchange Commission filings similar to the Proxy Statement.
AUDITORS' LETTERS. To each Major Holder, promptly following receipt by the Corporation, each audit response letter, accountant’s management letter and other written report submitted to the Corporation by its independent public accountants in connection with an annual or interim audit of the books of the Corporation.
AUDITORS' LETTERS. On the date of this Agreement and (in the event that a new portfolio of Loans and their Related Security is transferred to the Mortgages Trustee, or as reasonably requested by the Underwriters) on the Closing Date, there having been addressed and delivered to the Underwriters letters, in form and substance satisfactory to them, dated the date of this Agreement and the Closing Date, respectively, from Deloitte & Touche LLP, the independent auditors of the Ninth Issuer and Funding.
