AUGI Financial Statements. The AUGI Financial Statements present fairly, in all material respects, the assets and liabilities (whether accrued, absolute, contingent or otherwise) of AUGI, on a consolidated basis, as of the respective dates thereof, and the sales and earnings of the AUGI Business during the periods covered thereby, in all material respects and have been prepared in substantial accordance with generally accepted accounting principles consistently applied;
