Common use of Authentication, Delivery and Dating Clause in Contracts

Authentication, Delivery and Dating. The Securities shall be executed on behalf of the Issuer by any one or more Directors and Authorized Officers. The signature of any Director or Authorized Officer on the Securities may be manual or facsimile. Securities bearing the manual or facsimile signatures of any individual who was at any time the proper Director or Authorized Officer of the Issuer shall bind the Issuer notwithstanding that such individual has ceased to hold such office prior to the authentication and delivery of such Securities or did not hold such office at the date of such Securities. At any time and from time to time after the execution and delivery of this Indenture, the Issuer may deliver Securities executed by the Issuer to the Trustee for authentication, together with an Issuer Order for the authentication and delivery of such Securities, and the Trustee in accordance with the Issuer Order shall authenticate and deliver such Securities. In authenticating such Securities, and accepting the additional responsibilities under this Indenture in relation to such Securities, the Trustee shall be entitled to receive, and (subject to Sections 601 and 603) shall be fully protected in relying upon, an Opinion of Counsel stating,

The signature of any Director or Authorized Officer of these officers on the Securities may be manual or facsimile. Securities bearing the manual or facsimile signatures of any individual individuals who was were at any time the proper Director or Authorized Officer officers of the Issuer Company shall bind the Issuer Company, notwithstanding that such individual has individuals or any of them have ceased to hold such office offices prior to the authentication and delivery of such Securities or did not hold such office offices at the date of such Securities. At any time and from time to time after the execution and delivery of this Indenture, the Issuer Company may deliver Securities of any series executed by the Issuer Company, to the Trustee for authentication, together and, provided that the Board Resolution or Resolutions and Officer’s Certificate or supplemental indenture or indentures with an Issuer respect to such Securities referred to in Section 301 and a Company Order for the authentication and delivery of such Securities, and has been delivered to the Trustee, the Trustee in accordance with the Issuer Company Order and subject to the provisions hereof of such Securities shall authenticate and deliver such Securities. In authenticating such Securities, and accepting the additional responsibilities under this Indenture in relation to such Securities, ; the Trustee shall be entitled to receive, and (subject to Sections 601 and 603315(a) through 315(b) of the Trust Indenture Act) shall be fully protected in relying upon, an Opinion of Counsel stating,
