Common use of Authorisations Clause in Contracts

Authorisations. Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship of any Transaction Document to which it is a party; and (iii) own and operate each Ship (in the case of the Borrowers).

Authorisations. Each Obligor Borrower shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or and in the state of the Approved Flag at any time of each Ship of any Transaction Document to which it is a party; and (iii) own and operate each Ship (in the case of the Borrowers).

Authorisations. Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship or, as the case may be, Collateral Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship or, as the case may be, Collateral Ship of any Transaction Document to which it is a party; and (iii) own and operate each its Ship (in the case of a Borrower) and the BorrowersCollateral Ship (in the case of a Collateral Guarantor).

Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and; (b) supply certified copies to the Facility Agent of Lender of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship of any Transaction Document to which it is a party; and (iii) own and operate each Ship (in the case of the Borrowers).

Authorisations. Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship the Vessel to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship of the Vessel or any Transaction Document to which it is a party; and (iii) own and operate each Ship the Vessel (in the case of the BorrowersBorrower).

Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship of any Transaction Document to which it is a party; and (iii) as from the relevant Delivery Date, own and operate each its Ship (in the case of the Borrowersa Borrower).

Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship Ship, of any Transaction Document to which it is a party; and (iii) own and operate each Ship (in the case of the Borrowers).

Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship Ship, of any Transaction Document to which it is a party; and (iii) own and operate each its Ship (in the case of the Borrowersa Borrower).

Authorisations. Each Obligor shall, and shall procure that each other Transaction Obligor will, promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of of, any Authorisation required under any law or regulation of a Relevant Jurisdiction or the state of the Approved Flag at any time of each Ship Vessel to enable it to: (i) perform its obligations under the Transaction Documents to which it is a party; (ii) ensure the legality, validity, enforceability or admissibility in evidence in any Relevant Jurisdiction or in the state of the Approved Flag at any time of each Ship of Vessel or any Transaction Document to which it is a party; and (iii) own and operate each Ship Vessel (in the case of the Borrowers).
