Authorised End Users Clause Samples
The 'Authorised End Users' clause defines which individuals or entities are permitted to access and use a product, service, or system under the agreement. Typically, this clause specifies criteria such as employees, contractors, or other designated parties of the customer, and may outline any restrictions on sharing access with unauthorized users. Authorised End Users. 14.1. Where a Statement of Work or Fee Schedule specifies that we will provide Smart-UI Products to you, we will provide you with access credentials and details for your Authorised End Users.
14.2. We grant you a non-exclusive right to permit your Authorised End Users to use the Smart-UI Products solely for the Permitted Purpose, on Approved Devices in accordance with this Agreement for the Subscription Term.
14.3. You must not permit third parties who are not Authorised End Users to use or access the Smart-UI Products and/or Services.
14.4. As between you and us, you are responsible for each act and omission of an Authorised End User. Without limiting the foregoing provisions, any act or omission by an Authorised User that if committed by you would be a breach of this Agreement, will be deemed to constitute a breach of this Agreement by you.
Authorised End Users. Where EITC designates that access to a Service (including ordering) shall be provided only to Authorised End Users, EITC will provide each Authorised End User with a user name and password. The Customer shall make sure that such details are kept current, secure, are used only in accordance with this Agreement and that EITC is notified of the identity of Authorised End Users from time to time. EITC accepts no liability for any unauthorized or improper use of any password, or for any unauthorized disclosure of user names and passwords to third parties.
