Authorised Representative. The Issuer will notify the Dealers immediately in writing if any of the persons named in the list referred to in paragraph 3 of Part 1 of the Initial Documentation List ceases to be authorised to take action on its behalf or if any additional person becomes so authorised together, in the case of an additional authorised person, with evidence satisfactory to the Dealers that such person has been so authorised.
Authorised Representative. 36.1. The Company may in certain cases accept an Authorized Representative on behalf of the Client to place Orders to the Company or to handle any other matters related to the Client Account or this Agreement, provided the Client notifies the Company in writing of the appointment of an Authorized Representative and this person is approved by the Company fulfilling all of the Company specifications for this.
36.2. Unless the Company receives a written notification from the Client for the termination of the authorisation of Authorized Representative, the Company, without prejudice to paragraph 36.4 herein below, has the right to continue accepting Orders and/ or other instructions relating to the Client Account by the Authorized Representative on the Client’s behalf and the Client will recognize such orders as valid and binding for him.
36.3. The written notification for the termination of the authorization of the Authorized Representative has to be received by the Company with at least 5 Business Days’ notice prior to the date of termination of the authorization.
36.4. The Company has the right (but NOT an obligation to the Client) to refuse to accept Orders and/ or other instructions relating to the Client Account from the Authorized Representative in any of the following cases:
(a) if the Company reasonably suspects that the Authorized Representative is not legally allowed or properly authorized to act as such;
(b) an Event of Default occurred;
(c) in order for the Company to ensure compliance with the relevant market rules and or practices, Applicable Regulations or other applicable laws; or
(d) in order to protect the interest of the Client.
Authorised Representative. For the purpose of the obligation in Article 11(2) of Directive 2014/53/EU and the corresponding Swiss provisions, authorised representative shall mean any natural or legal person established within the European Union or Switzerland who has received a written mandate from a manufacturer to act on his behalf pursuant to Article 11(1) of Directive 2014/34/EU or the corresponding Swiss provisions.
Authorised Representative. The Subscriber, at its sole discretion and risk, may share the Subscriber ID with its Authorised Representative. The Authorised Representative must meet the Eligibility Criteria mentioned above in Clause 1. The Subscriber acknowledges and agrees that by taking any actions or allowing any actions to be taken on behalf of the Subscriber by the Authorised Representative, including without limitation, selecting a Package, accepting the Service and signing the CAF, the Subscriber accepts to be bound by the terms and conditions of this Subscription Contract.
Authorised Representative the persons respectively designated as such by the Local Authority and the Provider who have day to day management of this agreement.
Authorised Representative. 38.1. The Company may in certain cases accept an Authorized Representative on behalf of the Client to place Orders to the Company or to handle any other matters related to the Client Account or this Agreement, provided the Client notifies the Company in writing of the appointment of an Authorized Representative, submits the relevant documentation (such as Power of Attorney and KYC documents) and this person is approved by the Company fulfilling all of the Company specifications for this.
38.2. Unless the Company receives a written notification from the Client for the termination of the authorisation of Authorized Representative, the Company, without prejudice to paragraph 38.4 herein below, has the right to continue accepting Orders and/ or other instructions relating to the Client Account by the Authorized Representative on the Client’s behalf and the Client will recognize such orders as valid and committing to him.
38.3. The written notification for the termination of the authorization of the Authorized Representative has to be received by the Company with at least five Business Days’ notice prior the termination of the authorization date.
38.4. The Company has the right (but NOT an obligation to the Client) to refuse to accept Orders and/ or other instructions relating to the Client Account from the Authorized Representative in any of the following cases:
a) if the Company reasonably suspects that the Authorized Representative is not legally allowed or properly authorized to act as such;
b) an Event of Default occurred;
c) in order for the Company to ensure compliance with the relevant market rules and or practices, Applicable Regulations or other applicable laws; or
d) in order to protect the interest of the Client.
Authorised Representative. 5.3.1. The Licensee shall, within 30 (thirty) days from the Effective Date, nominate its Authorised Representative and shall authorise him for all correspondence, communication, signing of documents, participation in meetings etc. with Maha-Metro in respect of the Property Business Space and issues relating to or arising out of the Agreement.
5.3.2. The Licensee shall at all times, take all reasonable precautions to prevent any unlawful, riotous, or disorderly conduct, by or amongst, his staff and labour, and to preserve peace and protection of persons and property in the neighbourhood of the Property business space, against such conduct. The Licensee alongwith his Contractors (if any) shall disclose a list of all their employees and workmen, who are involved in the operation and maintenance of the property business space. The Licensee shall ensure that under no circumstances, the employees and workmen of the Licensee or any Contractor, are otherwise deemed to be employees of Maha-Metro.
Authorised Representative. If the declaration is signed by an authorised representative of the exporter or producer, provide the authorised representative’s name, address, including country, e-mail address and telephone number.
Authorised Representative. Any action required or permitted to be taken, and any document required or permitted to be executed under the Agreement by the Beneficiary shall be taken or executed by the Beneficiary’s authorised representative specified in Section 4 of the Specifications.
