Authorities and Duties. The officers of the Corporation shall have such authority and shall perform such duties as are customarily incident to their respective offices, or as may be specified from time to time by the directors regardless of whether such authority and duties are customarily incident to such office.

All officers, as between themselves and the Corporation, shall have such authority and perform such duties in the management of business and affairs of the Corporation as may be provided in these By-Laws, or, to the extent not so provided, as may be prescribed by the Board of Directors.

Executive shall exercise such authority, perform such executive duties and functions and discharge such responsibilities as are reasonably associated with Executive's position as Executive Vice President, Chief Credit Officer, commensurate with authority vested in Executive pursuant to this Agreement and consistent with the bylaws of the Bank. During the Employment Period, Executive shall devote his full business time, skill and efforts to the business of Employer and shall not during the Employment Period engage in any other business activities, duties, or pursuits whatsoever, or directly or indirectly render any services of a business, commercial, or professional nature to any other person or organization, whether for compensation or otherwise, without the prior written consent of the Board of Directors of Employer (the "Board"). Notwithstanding the foregoing, Executive may (i) serve in any capacity with any civic, educational or charitable organization, or any trade association, without seeking or obtaining approval by the Board, provided such activities and service do not materially interfere or conflict with the performance of his duties hereunder and (ii) with the approval of the Board serve on the boards of directors of other corporations that are not involved in commercial banking or similar business activities; provided, however, Executive shall not directly or indirectly acquire, hold, or retain any beneficial interest in any business competing with or similar in nature to the business of Employer except passive shareholder investments in other financial institutions and their respective affiliates which do not exceed three percent (3%) of the outstanding voting securities in the aggregate in any single financial institution and its affiliates on a consolidated basis.
Authorities and Duties. The Board of Directors shall provide for the following:
a. the maintenance, repair and replacement of the common properties and the designation and dismissal of the personnel necessary to accomplish the same;
b. the collection of assessments from the Members. The Board of Directors is also authorized to collect individual fines. Fines are to be paid to the Treasurer of the Association. The Treasurer will promptly notify the Board of any delinquent payments so that appropriate action may be taken in accordance with Article VII Section 6 and Article VII Section 8;
c. the procuring and keeping in force of insurance on the common properties, and the adjustment (including the execution and delivery of releases upon payment) of claims against such policies as are obtained;
d. the enactment of reasonable regulations governing the operation and use of the common properties, including any necessary "house rules." It shall not be necessary to record regulations newly adopted or the amendment or repeal of existing regulations, but no Member shall be bound by any newly adopted regulation or any amendment or repeal of an existing regulation until a copy of the regulation has been delivered to him;
e. the enforcement of the terms of the Covenants, these Bylaws, and any regula¬tions promulgated pursuant to the Bylaws; and
f. the administration of the Association on behalf and for the benefit of all Members.
