Common use of Authority; Affiliate Status Clause in Contracts

Authority; Affiliate Status. Shareholder has full power and --------------------------- authority to enter into, execute, deliver and perform Shareholder's obligations under this Affiliate Agreement and to make the representations, warranties and covenants herein contained. Shareholder further understands and agrees that Shareholder may be deemed to be an "affiliate" of INDUS within the meaning of the 1933 Act and, in particular, Rule 145 promulgated under the 1933 Act ("Rule 145").

Shareholder further understands and agrees that Shareholder may be deemed to be an "affiliate" of INDUS Rendition within the meaning of the 1933 Act and, in particular, Rule 145 promulgated under the 1933 Act ("Rule 145"). However, nothing herein shall be construed as an admission as to any Shareholder's status as an affiliate of Rendition.
