Authority; Binding Obligation; Conflicts. Contractor is duly organized, validly existing, and in good standing under applicable Oregon law. Contractor has full power and authority to sign and deliver this Agreement and to perform all of Contractor’s obligations under this Agreement. This Agreement is the legal, valid, and binding obligation of Contractor, enforceable against Contractor in accordance with its terms. The signing and delivery of this Agreement by Contractor and the performance by Contractor of all of Contractor’s obligations under this Agreement will not (a) breach any agreement to which Contractor is a party, or give any person the right to accelerate any obligation of Contractor, (b) violate any law, judgment, or order to which Contractor is subject, and/or (c) require the consent, authorization, or approval of any person, including, without limitation, any governmental body.

Consultant has full power and authority to sign and deliver this Agreement and to perform all Consultant’s obligations under this Agreement. The signing and delivery of this Agreement by Consultant and the performance by Consultant of all Consultant’s obligations under this Agreement will not (a) breach any agreement to which Consultant is a party, or give any person the right to accelerate any obligation of Consultant, (b) violate any law, judgment, and/or order to which Consultant is subject, and/or (c) require the consent, authorization, and/or approval of any person, including, without limitation, any governmental body. By signing below, Consultant certifies that Consultant (and Consultant’s principals) are not debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participating in and/or performing the Services under this Agreement.

This Agreement is the legal, valid, and binding obligation of Xxxxxxxxx Ranch, enforceable against Xxxxxxxxx Ranch in accordance with its terms. The signing and delivery of this Agreement by Xxxxxxxxx Ranch and the performance by Xxxxxxxxx Ranch of its obligations under this Agreement will not (a) breach any agreement to which Xxxxxxxxx Ranch is a party, or give any person the right to accelerate any obligation of Xxxxxxxxx Ranch, (c) violate any law, judgment, and/or order to which Xxxxxxxxx Ranch is subject, and/or (d) require the consent, authorization, and/or approval of any person, including, without limitation, any governmental body. No action, arbitration, audit, hearing, investigation, litigation, suit, and/or other proceeding is pending or threatened against Xxxxxxxxx Ranch. Xxxxxxxxx Ranch owns the Property in fee simple and free and clear of any Encumbrances. The Public Improvements will be free and clear of all Encumbrances upon completion. No representation or warranty made by Xxxxxxxxx Ranch in this Agreement includes any untrue statement or omits to state a material fact necessary in order to make the statements made, in the light of the circumstances under which they were made, not misleading.

Xxxxx owns the Property in fee simple, free and clear of all Encumbrances. The signing and delivery of this Agreement by Engineer and the performance by Engineer of all of Engineer’s obligations under this Agreement will not (a) breach any agreement to which Engineer is a party, or give any person the right to accelerate any obligation of Engineer, (b) violate any law, judgment, or order to which Engineer is subject, or (c) require the consent, authorization, or approval of any person, including, without limitation, any governmental body.

Young’s signing and delivery of this Agreement and performance of his, her, and/or their obligations under this Agreement will not (a) breach any agreement to which Young is a party, or give any person the right to accelerate any obligation of Young, (c) violate any law, judgment, and/or order to which Young is subject, and/or (d) require the consent, authorization, and/or approval of any person, including, without limitation, any governmental body. Young owns the Property in fee simple, free and clear of all Encumbrances. Seller has good title to the Goods (including all associated intellectual property rights (e.g., trademarks, copyrights, and/or licenses)) and will transfer and convey the Goods free from any restrictions, lien, conditions, adverse claim, and/or encumbrances. This Agreement is the legal, valid, and binding obligation of Seller, enforceable against Seller in accordance with its terms. The signing and delivery of this Agreement by Seller and the performance by Seller of all Seller’s obligations under this Agreement will not (a) breach any agreement to which Seller is a party, or give any person the right to accelerate any obligation of Seller, (b) violate any law, judgment, or order to which Seller is subject, or (c) require the consent, authorization, or approval of any person, including, without limitation, any governmental body.

Commstructure has full power and authority to sign and deliver this Agreement and to perform all of Commstructure’s obligations under this Agreement. This Agreement is the legal, valid, and binding obligation of Commstructure, enforceable against Commstructure in accordance with its terms. The signing and delivery of this Agreement by Commstructure and the performance by Commstructure of all of Commstructure’s obligations under this Agreement will not (a) breach any agreement to which Commstructure is a party, or give any person the right to accelerate any obligation of Commstructure, (b) violate any law, judgment, or order to which Commstructure is subject, and/or (c) require the consent, authorization, or approval of any person, including, without limitation, any governmental body.
