Performance by Contractor. The Contractor, at the Contractor's own expense, shall, except as herein otherwise specifically provided, furnish and provide all and every kind of labour and superintendence, services, tools, implements, machinery, plant materials, articles and whatsoever is necessary for the due execution of the work. The Contractor shall fully construct and erect the work in the most thorough, professional and substantial manner, in every respect to the satisfaction and approval of the Engineer. The Contractor shall complete the work within the time specified herein and deliver it to the Minister in the manner and upon the terms and conditions of the Contract.

Performance by Contractor. In performing its services and obligations under the Contract, the Contractor shall exercise the standard of care, skill, and diligence that would normally be provided by an experienced and prudent contractor supplying similar services for similar projects. The Contractor acknowledges and agrees that throughout the Contract, the performance of the Contractor’s obligations, duties, and responsibilities shall be judged against this standard. The Contractor shall exercise the same standard of care, skill, and diligence in respect of any Products, personnel, or procedures which it may recommend to the Owner.
Performance by Contractor. 5.1 The parties acknowledge and agree that the relationship between the Company and the Contractor is that of principal and independent contractor. 5.2 Nothing in this Agreement will be deemed to constitute the Contractor nor any of its Personnel an employee, partner, agent or representative of the Company and the Contractor nor any of its Personnel will have no authority to incur and will not incur any obligation on the part of the Company, except with, and to the extent of, the prior written authority of the Company. 5.3 The Contractor acknowledges that it is liable for payment of all allowances, taxes, premiums and costs, including leave entitlements, holding and sick pay, payroll tax, PAYE tax, costs of insurance or other non-reimbursable costs which arise in connection with the performance of the Services. 5.4 The Contractor will only appoint or engage in the performance of any Services, Personnel who are skilled and experienced in their trades and professions, and will remove and replace any Personnel at the request of the Company.. 5.5 If any of the Contractor’s Personnel are temporarily unavailable to provide the Services, the Contractor will at the Company’s request replace that person with another person of equal skill and qualifications as approved by the Company. In the event of such temporary unavailability, the Contractor will not be held responsible for any delays in the completion for the Services provided the Contractor notifies the Company in writing of the delay, and the reason for the delay, promptly after its commencement. 5.6 The Contractor will supply all materials and equipment required to perform the Services, and the Contractor warrants that all materials used to perform the Services will be new and of the best quality and workmanship of their respective kinds. 5.7 On the Completion Date, or upon termination of this Agreement, the Contractor will return to the Company any materials, equipment or other property supplied by the Company to the Contractor in the same condition that it was supplied save for an allowance for fair wear and tear. 5.8 The Contractor waives any lien or any other right, title or interest which it might have at any time in respect of any materials or equipment which are incorporated into, or form the whole or part of, the Services and will ensure that a similar provision is included in all contracts with sub-contractors and suppliers who supply any materials and equipment to the Contractor for the purposes of...
Performance by Contractor. (a) Time is of the essence in the performance of all Project Work and the Contractor shall perform all of the requirements hereof with all possible dispatch and shall execute all Project Work in such a manner as not to delay any other contractor or ODR also performing or concurrently performing Project Work. The Contractor shall follow the progress of the project, be prepared to commence and complete the Project Work when notified, keep up with the general progress of the whole Project Work and shall be responsible for all damages caused by its delay, including liquidated damages or actual damages assessed under the terms of the Contract Documents which are attributable to work under this Master Agreement. (b) Should the Contractor's performance of the Project Work be delayed by any acts of a subcontractors or suppliers not retained by Contractor, and provided that ODR is able to obtain an extension of time under the Contract Documents, the Contractor shall receive an equitable extension of time for the performance the Project Work (not to exceed the time received by ODR from the Owner) but shall not be entitled to any increase in contract price, damages or additional compensation as a consequence of such delays, unless the Owner pays for such delay’s increases costs directly attributable to Contractor. Within five (5) days after the commencement of any delay caused by the Owner, its subcontractors or suppliers, the Contractor shall notify ODR in writing of any delays for which the Owner is responsible, in sufficient time so that its claim may be timely processed against the Owner administratively per the terms of the Contract Documents. (c) Contractor shall furnish adequate on‐site supervision for its Project Work. Contractor shall designate an on‐site representative who shall have authority to legally bind Contractor to all matters, contractually or otherwise. (d) Contractor shall not start work until all Contract Documents have been executed and all insurance certificates have been submitted, reviewed and accepted by ODR as required by Section 10 herein, at which time a Notice to Proceed will be issued. The Contractor shall notify the ODR prior to commencing any Project Work.
