Not Misleading. To Selling Group’s Knowledge, the representations and warranties contained in this ARTICLE III do not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements and information contained in ARTICLE III not misleading.
Not Misleading. On the effective date of the Registration Statement, at the time of the meeting of the shareholders of the Acquired Funds and on the Closing Date, any written information furnished by Purisima with respect to the Acquired Fund for use in the Proxy Materials (exclusive of the portions of the Acquiring Fund’s Prospectus contained or incorporated by reference therein, and exclusive of any written information furnished by Purisima with respect to the Acquiring Fund), the Registration Statement or any other materials provided in connection with the Reorganization does not and will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the information provided not misleading.

Without limiting any of the representations and warranties of Owner set forth in this Agreement, such representations and warranties do not make any untrue statement of a material fact, or to Owner's Knowledge, omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading. The Company agrees that, if (i) during the Study Period, the Company shall discover any state of facts that differs from any of the representations set forth in Section 5.1 above or that would make such representations untrue, or (ii) if any of the documents listed in Exhibit 3.2.1 contains any facts or statements that differ from any of the representations set forth in Section 5.1 above or that would make such representations untrue, then the Company shall promptly advise the Owner in writing of such different state of facts.
Not Misleading. The representations and warranties of Seller in this Agreement do not contain any untrue statement of a material fact or omit a material fact necessary to make the statements contained herein not misleading.

To Seller’s actual knowledge, neither Seller’s representations and warranties under this Section 4.1 nor the Schedules attached hereto, contains any untrue statement of material fact or omits to state a material fact in any way concerning the Property or otherwise affecting or concerning the transactions contemplated hereby.

To the Knowledge of Sellers, none of the representations and warranties of Sellers in this Agreement or in any certificate or schedule delivered pursuant hereto or in connection with the transactions contemplated hereby, contain, or will contain at the time made or delivered, any untrue statement of a material fact or, omit to state a material fact necessary in order to make the statements herein and therein, in light of the circumstances in which they are made, not misleading.
