Authority of Landlord. Landlord and the person(s) executing this Lease on behalf of Landlord hereby represent, warrant, and covenant with and to Tenant as follows: the individual(s) acting as signatory on behalf of Landlord is(are) duly authorized to execute this Lease; Landlord has procured (whether from its members, partners or board of directors, as the case may be), the requisite authority to enter into this Lease; this Lease is and shall be fully and completely binding upon Landlord; and Landlord shall timely and completely perform all of its obligations hereunder.
Authority of Landlord. Landlord hereby represents and warrants that it is a limited partnership duly organized and in good standing under the laws of the Commonwealth of Virginia, that each individual or entity executing this Lease on behalf of Landlord is authorized to do so, and that all action necessary to authorize Landlord to enter into this Lease has been duly taken.
Authority of Landlord. Landlord warrants that it has full right and lawful authority to enter into this Lease and to keep and perform the covenants herein contained.

This Lease is valid and binding upon LANDLORD and enforceable against it in accordance with its terms, Without limiting the generality of the foregoing, (i) the execution and delivery of this Lease by the person executing this Lease on behalf of LANDLORD and the consummation by LANDLORD of the transactions contemplated hereby have been specifically authorized by all requisite corporate action and (ii) the transactions contemplated hereby are within LANDLORD's purposes and powers as set forth in the applicable organizational documents forming and governing LANDLORD.
Authority of Landlord. Landlord hereby represents that Landlord has the right, power, legal capacity and authority to execute, deliver and perform this Fourth Amendment and to bind Landlord to the terms of this Fourth Amendment without further action, and that all consents required as a condition to Landlord’s authority to execute, deliver and perform this Fourth Amendment have been obtained.
Authority of Landlord. Xxxxxxx Xxxxxxx (U.S.) Limited Partnership (“Owner’s Representative”) has executed this Lease in a representative capacity as Landlord’s authorized signatory. Such Owner’s Representative executes, not personally but solely in the representative capacity so designated. No personal liability or personal responsibility is assumed by, nor shall at any time be asserted or enforced against, the Owner’s Representative on account of this Lease, whether expressed or implied.
Authority of Landlord. Landlord represents and warrants that the individual ----------------------- signing this Lease on Landlord's behalf is duly authorized to execute and deliver this Lease on its behalf in accordance with the duly adopted resolution of the board of directors of Landlord's General Partner.
Authority of Landlord. (a) Landlord represents and covenants that Landlord is a Connecticut limited liability company in good standing and legal existence, has full authority to enter into this Lease with Tenant, all action required to have been taken by Landlord to be vested with such authority having been taken, and the party signing the herein Lease on behalf of Landlord is a duly authorized member of Landlord authorized to execute and deliver the herein Lease, upon the doing of which Landlord shall be fully bound hereby.
Authority of Landlord. Landlord and all Persons signing for Landlord below hereby represent that this Sublease has been fully authorized and no further approvals are required, and Landlord is duly organized, in good standing and legally qualified to do business in the Commonwealth of Pennsylvania and with regard to the Premises.
Authority of Landlord. Landlord represents and warrants to Tenant that Landlord has full right, power and authority to execute, deliver and perform this Termination Agreement, that the person executing this Termination Agreement on behalf of Landlord has full right, power and authority to bind Landlord to the terms and conditions of this Termination Agreement and that all necessary corporate action has been taken by Landlord to duly authorize the execution, delivery and performance of this Termination Agreement. The person executing this Termination Agreement on behalf of Landlord represents to Tenant that he or she has full right, power and authority to bind Lessor to the terms and conditions of this Termination Agreement.
