Common use of Authority of the Board Clause in Contracts

Authority of the Board. Except for matters that (a) require approval of the Members by the express terms of this Agreement or (b) relate to the responsibilities and authority delegated by the Board to the officers, the Board shall have the exclusive authority to make all decisions and take all actions and act on behalf of the Company generally to conduct, direct and manage the business, activities, operations and affairs of the Company.

Authority of the Board. Except for matters that (a) require approval of the Members any Member(s), or for which any Member(s) are permitted to act, by the express terms of this Agreement or (b) relate to the responsibilities and authority delegated by the Board to the officers, the Board shall have the exclusive authority to make all decisions and take all actions and act on behalf of the Company generally to conduct, direct and manage the business, activities, operations and affairs of the Company.

Authority of the Board. Except for matters that (a) require where approval of the Members is expressly required by the express terms nonwaivable provisions of applicable law or as otherwise specifically provided in this Agreement or (b) relate to the responsibilities and authority delegated by the Board to the officersAgreement, the Board shall have the full, exclusive authority and complete discretion to make all decisions and take all actions and act on behalf of the Company generally to conduct, direct and manage control the business, activities, operations business and affairs of the Company, to make all decisions affecting the business and affairs of the Company and to authorize management of the Company or such other Persons as it may designate to take all such actions as it deems necessary or appropriate to accomplish the foregoing and the purposes of the Company.
