AUTHORITY REMEDIES. 29.1 Without prejudice to any other rights or remedies arising under this Framework Agreement, including under Clause 30.2 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 The Authority shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the Authority, an Improvement Plan within ten (10) Working Days of a written request by the Authority for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

AUTHORITY REMEDIES. 29.1 32.1 Without prejudice to any other rights or remedies arising under this Framework Dynamic Purchasing System Agreement, including under Clause 30.2 33.2 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 32.1.1 The Authority shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the Authority, an Improvement Plan within ten (10) Working Days of a written request by the Authority for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 32.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 32.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 32.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Dynamic Purchasing System Agreement), the Authority shall be entitled to terminate this Framework AgreementDynamic Purchasing System Agreement for material Default.

AUTHORITY REMEDIES. 29.1 Without prejudice to any other rights or remedies arising under this Framework Agreement, including under Clause 30.2 28.1 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority Fund shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 : The Authority Fund shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the AuthorityFund, an Improvement Plan within ten (10) Working Days of a written request by the Authority Fund for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 . The Authority Fund shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority Fund in order to resolve the issues raised by the Authority Fund in its notice to the Supplier requesting such meetings. 29.1.3 . The Authority Fund shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 . In the event that the Authority Fund has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the AuthorityFund; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority Fund shall be entitled to terminate this Framework Agreement.

Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 . The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 . The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 . In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework AgreementAgreement for material Default.

AUTHORITY REMEDIES. 29.1 Without prejudice to any other rights or remedies arising under this Framework Dynamic Purchasing System Agreement, including under Clause 30.2 75.2 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 : The Authority shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the Authority, an Improvement Plan within ten (10) Working Days of a written request by the Authority for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 . The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 . The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 . In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Dynamic Purchasing System Agreement), the Authority shall be entitled to terminate this Framework AgreementDynamic Purchasing System Agreement for material Default.

AUTHORITY REMEDIES. 29.1 26.1 Without prejudice to any other rights or remedies arising under this Framework Call off Agreement, including under Clause 30.2 27.1 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 26.1.1 The Authority shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the Authority, an Improvement Plan within ten (10) Working Days of a written request by the Authority for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 26.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 26.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 26.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Call off Agreement), the Authority shall be entitled to terminate this Framework Call off Agreement.

Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 . Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 . The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 . In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Dynamic Marketplace Agreement), the Authority shall be entitled to terminate this Framework AgreementDynamic Marketplace Agreement for material Default.

Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 31.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 31.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 31.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

AUTHORITY REMEDIES. 29.1 Without prejudice to any other rights or remedies arising under this Framework Agreement, including under Clause 30.2 (Termination on Material Default), if the Supplier fails to achieve a KPI Target on two or more occasions within any twelve (12) Month rolling period, the Supplier acknowledges and agrees that the Authority shall have the right to exercise (in its absolute and sole discretion) all or any of the following remedial actions: 29.1.1 The Authority shall be entitled to require the Supplier, and the Supplier agrees to prepare and provide to the Authority, an Improvement Plan within ten (10) Working Days of a written request by the Authority for such Improvement Plan. Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) : fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 27.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 27.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 27.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

Such Improvement Plan shall be subject to Approval and the Supplier will be required to implement any Approved Improvement Plan, as soon as reasonably practicable. 29.1.2 30.1.2 The Authority shall be entitled to require the Supplier, and the Supplier agrees to attend, within a reasonable time one (1) or more meetings at the request of the Authority in order to resolve the issues raised by the Authority in its notice to the Supplier requesting such meetings. 29.1.3 30.1.3 The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice. 29.1.4 30.1.4 In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: (a) fails to implement such requirements for improvement as set out in the Improvement Notice; and/or (b) fails to implement an Improvement Plan Approved by the Authority and/or fails to comply with any reasonable request made by the Authority; or (c) complies with those requests of the Authority, made in accordance with Clause 29, within the stipulated timescale but the Supplier fails to meet a KPI Target on any one occasion then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement. 30.1.5 The Authority is also entitled to suspend the Supplier from bidding in any Further Competition Procedure and/or entering into any Call-Off Agreement arising under this Framework Agreement where the conditions in Clause 30.1.4 (a) and/or (b) above are satisfied.
