Common use of Authority to authenticate and effectuate Clause in Contracts

Authority to authenticate and effectuate. The Registrar is authorized by the Issuer to (i) authenticate the Global Note and the Definitive Notes (if any) and (ii) transmit such Global Note electronically to the Common Safekeeper and to give effectuation instructions in respect of the Global Note following authentication thereof by the signature of any of its officers or any other person duly authorized for the purpose by the Registrar. The Issuer further authorizes and instructs the Registrar to cancel and return to the Issuer the Global Note retained by it following its receipt of confirmation from the Common Safekeeper that the Global Note has been effectuated.
