Authority to Convey. The Grantor warrants, covenants, grants, bargains, and agrees to and with the Town that the Grantor is well seized of the Easement Parcel and has good, sure, perfect, absolute, and indefeasible estate of inheritance, in law, in fee simple, and has good right, full power and lawful authority to grant, bargain, sell, and convey the same in manner and form as aforesaid, and that the same is free and clear from all former and other grants, bargains, sales, liens, taxes, assessments, encumbrances, and restrictions of whatever kind or nature, except matters of record. The Grantor further promises and agrees to forever defend the Town in its quiet and peaceful possession of the Easement Parcel in the exercise of its rights hereunder against all and every person lawfully claiming or seeking to claim the whole or any part thereof.
Authority to Convey. The Mortgagor hereby represents and warrants that it has the right and authority to execute this Mortgage and that the consent of no other party is required.
Authority to Convey. At and after any such public sale, Grantee may execute and deliver to the purchaser a conveyance of the Premises or any part of the Premises with full warranties of title, and to this end, Grantor hereby constitutes and appoints Grantee the agent and attorney-in-fact of Grantor to make such sale and conveyance pursuant to Paragraph 2.05 through 2.07 hereof, and thereby to divest Grantor of all right, title or equity that Grantor may have in and to the Premises and to vest the same in the purchaser or purchasers at such sale or sales, and all of the acts and doings of said agent and attorney-in-fact are hereby ratified and confirmed, and any recitals in said conveyance or conveyances as to facts essential to a valid sale shall be binding on Grantor. The aforesaid power of sale and agency hereby granted are coupled with an interest and are irrevocable by death or otherwise, are granted as cumulative of the other remedies provided by law for collection of the indebtedness secured hereby, and shall not be exhausted by any one exercise thereof but may be exercised until full payment of all such sums secured hereby.
Authority to Convey. Kosti is an individual with full power and authority to carry on the business of exchanging such assets and to execute and deliver and carry out the transactions contemplated by this Agreement.
Authority to Convey. XXXX is an individual with full power and authority to carry on the business of exchanging such Stocks and to execute and deliver and carry out the transactions contemplated by this Agreement.
Authority to Convey. Seller has the full corporate power and authority to enter into and perform this Agreement and to complete the transactions contemplated by this Agreement. This Agreement is a legal, valid, and binding obligation of Seller, enforceable against Seller in accordance with its terms, subject to the effect of applicable bankruptcy, insolvency, reorganization, arrangement, moratorium, or other similar laws affecting the rights of creditors generally.
