Common use of Authority to Execute and Perform Agreements Clause in Contracts

Authority to Execute and Perform Agreements. Seller has all power, authority and approvals required to enter into, execute and deliver this Agreement and all of the other Seller Documents and to perform fully Seller’s obligations hereunder and thereunder.

The Seller has taken all actions necessary to authorize it to enter into and perform fully its obligations under this Agreement and to consummate the transactions contemplated herein, and any and all approvals required to be obtained from or by the members of the other Seller Documents and Seller, including any approvals required to perform fully Seller’s obligations hereunder and thereunderbe obtained from or by NutraCea (including its Board of Directors), have been duly obtained.

Such Seller has all the full right, power, authority and approvals required legal capacity to enter into, into and execute and deliver this Agreement and perform all of its obligations hereunder. Such Seller has taken all actions necessary to authorize it to enter into and perform his obligations under this Agreement. This Agreement is and will be the other Seller Documents legal, valid and to perform fully binding obligation of such Seller’s obligations hereunder and thereunder, enforceable in accordance with its terms.

Such Seller has all power, necessary power and authority and approvals required to enter into, execute and deliver this Agreement and all of the other Seller Allstate Documents and to perform fully Seller’s obligations hereunder transfer, convey and thereundersell to the Company at the Closing the Allstate Shares to be sold by such Seller hereunder.

Such Seller has all power, ------------------------------------------- necessary power and authority and approvals required to enter into, execute and deliver this Agreement and all of the other Seller Allstate Documents and to perform fully Seller’s obligations hereunder transfer, convey and thereundersell to the Company at the Closing the Allstate Shares to be sold by such Seller hereunder.
