Common use of Authority; Validity Clause in Contracts

Authority; Validity. Stockholder has all requisite capacity, power and authority to enter into this Agreement and to consummate the transactions contemplated hereby. The execution and delivery of this Agreement by Stockholder and the consummation by Stockholder of the transactions contemplated hereby have been duly and validly authorized by all necessary action on the part of Stockholder. This Agreement has been duly executed and delivered by Stockholder. If this Agreement is being executed in a representative or fiduciary capacity with respect to Stockholder, the person signing this Agreement has full power and authority to enter into and perform this Agreement.

Authority; Validity. Stockholder Shareholder has all requisite capacity, power and authority to enter into this Agreement and to consummate the transactions contemplated hereby. The execution and delivery of this Agreement by Stockholder Shareholder and the consummation by Stockholder Shareholder of the transactions contemplated hereby have been duly and validly authorized by all necessary action on the part of StockholderShareholder. This Agreement has been duly executed and delivered by StockholderShareholder. If this Agreement is being executed in a representative or fiduciary capacity with respect to StockholderShareholder, the person signing this Agreement has full power and authority to enter into and perform this Agreement.

If such Stockholder is an entity, (i) the Stockholder has all requisite capacity, power and authority to enter into this Agreement and to consummate the transactions contemplated hereby. The hereby and (ii) the execution and delivery of this Agreement by Stockholder and the consummation by Stockholder of the transactions contemplated hereby have been duly and validly authorized by all necessary action on the part of Stockholder. This Agreement has been duly executed and delivered by Stockholder. If this Agreement is being executed in a representative or fiduciary capacity with respect to Stockholder, the person signing this Agreement has full power and authority to enter into and perform this Agreement.

If this Agreement the Stockholder and constitutes the legal, valid and binding agreement of the Stockholder and is being executed enforceable in a representative or fiduciary capacity accordance with respect to Stockholder, the person signing this Agreement has full power and authority to enter into and perform this Agreementits terms.
