Common use of Authorization/Compliance with Laws Clause in Contracts

Authorization/Compliance with Laws. (i) Contractor has full power and authority to enter into this Agreement and any Participating Addendum, to grant the rights and licenses herein and to perform its obligations under this Agreement, and that Contractor’s representative who signs this Agreement has the authority to bind Contractor to this Agreement and any Participating Addendum; (ii) the execution, delivery and performance of this Agreement have been duly authorized by all requisite corporate action on the part of Contractor; (iii) Contractor shall not and shall cause Subcontractors not to enter into any arrangement with any Third-Party which could reasonably be expected to abridge any rights of the Judicial Branch Entities under this Agreement and any Participating Addendum; (iv) this Agreement constitutes a valid and binding obligation of Contractor, enforceable in accordance with its terms; (v) Contractor is qualified to do business and in good standing in the State of California; (vi) Contractor, its business, and its performance of its obligations under this Agreement comply with all Applicable Laws; and (vii) Contractor pays all undisputed debts when they come due. To the extent any work under this Agreement is subject to the payment of Prevailing Wages, such Work shall be performed in accordance with Addendum 2 to this Agreement.
