Authorization from Others. Except with respect to required filings under any Antitrust Laws and the expiration of any applicable waiting periods thereunder, no consent, waiver, approval, Order, Permit or declaration or filing with, or notification to, any Governmental Authority is required with respect to Seller in connection with the consummation of the transactions contemplated by this Agreement or any other Transaction Document to which Seller is a party, other than such of the foregoing that, if not given or obtained, would not have a Material Adverse Effect.
