Authorization to Carry on Business. The Warrant Agent represents to the Corporation that as at the date of the execution and delivery of this Indenture, it is duly authorized and qualified to carry on the business of a trust company in the Province of Ontario.
Authorization to Carry on Business. The Warrant Agent represents to the Company that it is registered to carry on business under Applicable Legislation in the provinces of Alberta and British Columbia.
Authorization to Carry on Business. The Warrant Agent represents to the Company that it is registered to carry on the business of a trust company in each of the provinces of Canada, that it has due authority and capacity to enter into this Indenture and accepts the trusts contemplated hereby and that this Indenture shall constitute a legal, valid and binding agreement of the Warrant Agent enforceable against the Warrant Agent in accordance with its terms.
Authorization to Carry on Business. The Subscription Receipt Agent represents to the Company that it is registered to carry on the business of a trust company in the Province of Ontario.
Authorization to Carry on Business. The Special Warrant Agent represents to the Corporation that it is duly authorized and qualified to carry on the business of a trust company in each of the provinces of Canada.
Authorization to Carry on Business. The Warrant Agent represents to the Company that, at the date of execution and delivery by it of this Indenture, it is authorized to perform its obligations under this Indenture and to carry on the business of a warrant agent in Canada. If, notwithstanding the provisions of this Section 8.11, the Warrant Agent ceases to be so authorized to perform its obligations under this Indenture or to carry on business, the validity and enforceability of this Indenture and the Warrants issued hereunder shall not be affected in any manner whatsoever by reason only of such event, but the Warrant Agent shall, within 90 days after ceasing to be so authorized, either become so authorized or resign as Warrant Agent in the manner and with the effect specified in Section 8.7.
Authorization to Carry on Business. The Trustee represents to the Corporation that it is duly authorized and qualified to carry on the business of a trust company in each of the Provinces of Canada.
Authorization to Carry on Business. Westaim is duly authorized, qualified and licensed and has all requisite power, capacity and authority under all applicable laws, ordinances and orders of public authorities to own, operate and lease its properties and assets and to carry on the Business in the places and in the manner currently conducted;
Authorization to Carry on Business. The Warrant Agent represents to the Corporation that as at the date of the execution and delivery of this Indenture, it is duly authorized and qualified to carry on the business in the Province of Ontario.
