AUTHORIZATION TO DEBIT ACCOUNT. Each Credit Party hereby agrees that Agent has the right to debit from any Deposit Account of one or more Credit Parties, amounts owing to Agent by any Borrower under this Agreement and the Loan Documents for payment of fees and expenses incurred in connection therewith.

Each Credit Party The Borrower hereby agrees that the Agent has the right to debit from any Deposit Account of one the Borrower or more any other Credit PartiesParty, amounts owing to the Agent and the Lenders by any the Borrower under this Agreement and the Loan Documents for payment of fees fees, expenses and expenses other amounts incurred or owing in connection therewith; provided that, so long as no Default or Event of Default shall then exist, the Agent shall provide the Borrower with three days advance notice (which may be by email or telephone to a Financial Officer) prior to debiting any Deposit Account of a Credit Party.
