Common use of Authorized Clause in Contracts

Authorized. The Adviser or the Trust has authorized such disclosure; (i) The Adviser hereby authorizes the disclosure by the Subadviser of certain confidential information to an affiliate or agent of the Subadviser, provided that (A) such affiliate or agent has a “need to know” for the furtherance of the Subadviser’s obligations under this Agreement, (B) such affiliate or agent agrees to be bound by the Confidentiality provisions of this Section 15 and (C) the Subadviser agrees to be fully liable to the Trust and the Adviser for any security breach or unauthorized disclosure of confidential information by the affiliate or agent;

The Adviser or the Trust has authorized such disclosure; (i) The Adviser hereby authorizes the disclosure by the Subadviser of certain confidential information to an affiliate or agent of the Subadviser, provided that that (A) such affiliate or agent has a “need to know” for the furtherance of the Subadviser’s obligations under this Agreement, (B) such affiliate or agent agrees to be bound by the Confidentiality provisions of this Section 15 and (C) the Subadviser agrees to be fully liable to the Trust and the Adviser for any security breach or unauthorized disclosure of confidential information by the affiliate or agent;; and (ii) The Adviser hereby authorizes the disclosure by the Subadviser of certain confidential information to the Fund’s custodian or a broker, dealer, counter-party, issuer or futures commission broker as Subadviser may select in connection with executing transactions for the Fund in accordance with this Agreement.

The Adviser or the Trust has authorized such disclosure; (i) The Adviser hereby authorizes the disclosure by the Subadviser of certain confidential information to an affiliate or agent of the Subadviser, provided that (A) such affiliate or agent has a “need to know” for the furtherance of the Subadviser’s obligations under this Agreement, (B) such affiliate or agent agrees to be bound by the Confidentiality provisions of this Section 15 and (C) the Subadviser agrees to be fully liable to the Trust and the Adviser for any security breach or unauthorized disclosure of confidential information by the affiliate or agent;; and (ii) The Adviser hereby authorizes the disclosure by the Subadviser of certain confidential information to the Fund’s custodian or a broker, dealer, counter-party, issuer or futures commission broker as Subadviser may select in connection with executing transactions for the Fund in accordance with this Agreement.
