Common use of Authorizing Certificate Clause in Contracts

Authorizing Certificate. A certificate of an Authorized Officer ------------------------ of the Note Issuer certifying that (i) the Note Issuer has duly authorized the execution and delivery of this Indenture and the related Series Supplement and the execution, authentication and delivery of the Notes of such Series and (ii) that the Series Supplement for such Series of Notes shall be in the form attached thereto, which Series Supplement shall specify the terms and provisions of such Series (and, if applicable, each Class thereof), including the Scheduled Maturity Date, the Final Maturity Date, the principal amount and the Note Interest Rate of such Notes to be authenticated and delivered.
