The Lender shall have received a certificate from the Secretary of the Borrower attesting to (i) the adoption of resolutions of the Borrower's Board of Directors authorizing the borrowing of money from the Lender and execution and delivery of this Agreement and the other Loan Documents, and authorizing officers of the Borrower to execute this Agreement and the other Loan Documents, and (ii) the authenticity of signatures of such officers;
