Common use of Automatic Stay Clause in Contracts

Automatic Stay. The Parties acknowledge that the giving of notice or termination by any Party pursuant to this Agreement shall not be violation of the automatic stay of section 362 of the Bankruptcy Code.

The Parties acknowledge that Each of the giving of notice or termination Company Parties, to the fullest extent permitted by any Party pursuant to this Agreement shall not be violation law, waive the applicability of the automatic stay of section 362 of the Bankruptcy CodeCode to the giving of notice of termination of this Agreement by any Party pursuant to this Agreement; provided that nothing herein shall prejudice any Party’s rights to argue that the giving of such notice of default or termination was not proper under the terms of this Agreement.

The Debtors waive any rights to assert that the exercise of such rights violate the automatic stay, or any other provisions of the Bankruptcy Code.

The Basic Parties acknowledge and agree and shall not dispute that after the Commencement Date, the termination of this Agreement and the giving of notice or of termination by any Party pursuant to this Agreement shall not be a violation of the automatic stay of section 362 of the Bankruptcy CodeCode (and each Basic Party hereby waives, to the fullest extent permitted by law, the applicability of the automatic stay to the giving of such notice).
