Common use of Automatic Stay Clause in Contracts

Automatic Stay. The Parties acknowledge that after the commencement of the Chapter 11 Cases, the termination of this Agreement and the giving of notice of termination by any Party pursuant to this Agreement shall not be a violation of the automatic stay of section 362 of the Bankruptcy Code subject to the terms of any order authorizing the assumption of this Agreement; provided, that nothing herein shall prejudice any Party’s rights to argue that the giving of notice of termination was not proper under the terms of this Agreement.

Automatic Stay. The Parties parties hereto acknowledge that after the commencement of the Chapter 11 CasesCase, the termination of this Agreement and the giving of notice of or termination by any Party party pursuant to this Agreement shall not be a violation of the automatic stay of section 362 of the Bankruptcy Code subject to the terms of any order authorizing the assumption of this AgreementCode; provided, that however, nothing herein shall prejudice any Partyparty’s rights to argue that the giving of notice of termination was not proper under the terms of this Agreement.

The Memorial Parties acknowledge and agree that after the commencement of the Chapter 11 Cases, the termination of this Agreement and the giving of notice of termination by any Party pursuant to this Plan Support Agreement shall not be a violation of the automatic stay of section 362 of the Bankruptcy Code subject to the terms of any order authorizing the assumption of this AgreementCode; provided, provided that nothing herein shall prejudice any Party’s rights to argue that the giving of notice of termination was not proper under the terms of this Plan Support Agreement.

Automatic Stay. The Debtor Parties acknowledge and agree and shall not dispute that after the commencement of the Chapter 11 Cases, the termination of this Agreement and the giving of notice of termination of this Agreement by any Party pursuant to this Agreement shall not be a violation of the automatic stay of under section 362 of the Bankruptcy Code subject (and the Debtor Parties hereby waive, to the terms fullest extent permitted by law, the applicability of any order authorizing the assumption automatic stay to the giving of this Agreementsuch notice); provided, provided that nothing herein shall prejudice any Party’s rights to argue that the giving of notice of default or termination was not proper under the terms of this Agreement.

Automatic Stay. The Basic Parties acknowledge and agree and shall not dispute that after the commencement of the Chapter 11 CasesCommencement Date, the termination of this Agreement and the giving of notice of termination by any Party pursuant to this Agreement shall not be a violation of the automatic stay of section 362 of the Bankruptcy Code subject (and each Basic Party hereby waives, to the terms fullest extent permitted by law, the applicability of any order authorizing the assumption of this Agreement; provided, that nothing herein shall prejudice any Party’s rights automatic stay to argue that the giving of notice of termination was not proper under the terms of this Agreementsuch notice).
