Common use of Availability of Tax Returns Clause in Contracts

Availability of Tax Returns. To the extent not previously provided, as soon as practicable after the date hereof, PanEnergy and its Subsidiaries will make available to Duke complete and accurate copies of such of the following materials as Duke may reasonably request: (i) material Tax Returns, and any amendments thereto, filed by PanEnergy or any of its Subsidiaries since January 1, 1994, (ii) audit reports received from any taxing authority relating to any material Tax Return filed by PanEnergy or any of its Subsidiaries and (iii) Closing Agreements entered into by PanEnergy or any of its Subsidiaries with any taxing authority.
