Common use of Avoidance of Other Conflicts Clause in Contracts

Avoidance of Other Conflicts. No Borrower shall violate or conflict with, be in default under, or be or remain subject to any liability (contingent or otherwise) on account of any violation or conflict with (a) its articles or certificate of incorporation, bylaws or partnership agreement (or other constituent documents), or (b) any agreement or instrument to which it is party or by which any of its properties (now owned or hereafter acquired) may be subject or bound, except, with respect to clause (b), for matters that could not, individually or in the aggregate, have a Material Adverse Effect.

Avoidance of Other Conflicts. No Borrower shall violate or enter into agreements which conflict with, be in default under, or be or remain subject to any liability (contingent or otherwise) on account of any violation or conflict with (a) its articles or certificate of incorporation, bylaws or partnership agreement (or other constituent documents), or (b) any agreement or instrument to which it is party or by which any of its properties (now owned or hereafter acquired) may be subject or bound, except, with respect to clause (b), for matters that could not, individually or in the aggregate, have a Material Adverse Effect.

Avoidance of Other Conflicts. No The Borrower shall not violate or conflict with, be in default underviolation of or conflict with, or be or remain subject to any liability (contingent or otherwise) on account of any violation or conflict with with (a) any Law, (b) its articles or certificate of incorporation, bylaws or partnership agreement incorporation of by-laws (or other constituent documents), or or (bc) any agreement or instrument to which it is party or by which it or any of its properties (now owned or hereafter acquired) may be subject or bound, except, with respect to clause (b), except for matters that could not, individually or in the aggregate, have a Material Adverse Effect.
