For purposes of Sections 5.1 and 5.2 hereof, any requirement that certain items be "satisfactory to" or "to the satisfaction of" the Agent, any Issuing Bank or any Lender shall mean to the satisfaction of the Agent, any Issuing Bank or any Lender after review.

No Violations of Law, etc. Neither the execution and delivery of this Agreement, nor the consummation of the transactions contemplated hereby, by SOCO Exploration or SOCO Thaitex will (a) violate any applicable law, rule, regulation, or order to which that Party is subject or any provision of the charter or bylaws of that Party or (b) conflict with, result in a breach of, constitute a default under, create in any party the right to terminate, modify or change, or require any notice under any agreement, contract, lease, license, instrument or other agreement to which it is a party, by which it is bound or to which any of its assets is subject.
