Awarding of Contracts. (a) Each Union shall provide the Project Labor Coordinator a list of signatory Contractors whose principal place of business is within the geographic jurisdiction of the Water Authority and that routinely perform work within the scope of Covered Work in such area. The Union may specify the type of work that such Contractor performs and may amend the list as necessary. The Water Authority and any Prime Contractor that contracts Covered Work to another Contractor shall solicit bids from at least two (2) Contractors on the applicable Union’s list for the Covered Work, provided such Contractors meet any applicable pre-qualification criteria set forth by the Water Authority. The solicitation of bids shall be based upon the same terms, conditions and scope of work requested of all potential bidders. Notwithstanding the preceding sentence, the Water Authority has the absolute right to bid or award Covered Contracts regardless of delivery method to any Contractor notwithstanding the existence or non-existence of any agreements between such Contractor and any Union, provided only that such Contractor is willing, ready, and able to execute a Letter of Assent as set forth in Attachment A hereto, and comply with this PLA in performance of Covered Work. (b) It is agreed that all Contractors awarded Covered Work shall be required to accept and be bound by the terms and conditions of this PLA. Contractors shall evidence their acceptance of this PLA by executing a Letter of Assent as set forth in Attachment A hereto. The Prime Contractor must sign and submit the Letter of Assent as a condition of award prior to the execution of a Covered Contract. No Contractor shall commence Covered Projects without first providing a copy of the signed Letter of Assent to the Project Labor Coordinator. (c) The Water Authority and all Contractors awarded Covered Work agree that, to the extent permitted by law and consistent with the economy and efficiency of construction and operation, they will use best efforts to purchase materials, equipment, and supplies that will not create labor strife. Under all circumstances, however, the Water Authority shall retain the absolute right to select Contractors for the award of contracts. Under all circumstances, Contractors shall retain the absolute right to select subcontractors on all Covered Projects.

At the time that any Contractor enters into a subcontract with this PLA in any subcontractor of any tier providing for the performance of Covered Work. (b) It is agreed that all Contractors awarded Covered Work on the construction contract, the Contractor shall be required to accept and be bound by the terms and conditions provide a copy of this PLA. Contractors Agreement to said subcontractor and shall evidence their acceptance require the subcontractor, as a part of this PLA by executing accepting the award of a construction subcontract, to agree in writing in the form of a Letter of Assent as set forth in Attachment A heretoto be bound by each and every provision of this Agreement prior to the commencement of work on the Project. No Contractor shall commence Covered Projects without first providing a copy of the signed Letter of Assent executed by it to the Project Labor CoordinatorCoordinator and to the Council forty-eight (48) hours before the commencement of Project Work, or within forty-eight (48) hours after the award of Project Work to that Contractor (or subcontractor), whichever occurs later. Further, Contractors not signatory to the established Joint Labor/Management Trust Fund Agreements, as described in the Schedule A Agreement(s) for the craft workers in their employ, shall sign a “Subscription Agreement” with the appropriate Joint Labor/Management Trust Funds covering the work performed under this Agreement before work is commenced on the Project. (c) The Water Authority and all Contractors awarded Covered Work agree that, District agrees that to the extent permitted by law and consistent with the economy and efficiency of construction and operation, they it will use its best efforts to purchase materials, equipment, equipment and supplies that which will not create labor strife. Under all circumstances, however, the Water Authority District shall retain the absolute right to select Contractors the lowest reliable and responsible bidder for the award of contracts. Under all circumstances, Contractors shall retain the absolute right to select subcontractors contracts on all Covered Projects.

Awarding of Contracts. (a) Each Union The Construction Agent shall request, receive, and open bids on the construction of the Public Improvements and may do so in one or more packages. The Construction Agent agrees that, with respect to each such bid package, the Construction Agent shall request responsible bids in accordance with the public bidding requirements applicable to the construction of the City Improvements and the Issuer Improvements pursuant to Ohio Revised Code Section 4582.31(A)(18)(b), except as may otherwise be approved in writing by the Issuer and the City. The Construction Agent agrees that, with respect to each bid package for City Improvements and Issuer Improvements, the Construction Agent shall provide the Project Labor Coordinator Issuer and the City with a list reasonable opportunity to review each bid package prior to solicitation of signatory Contractors whose principal place of business is within bids, and shall make to the geographic jurisdiction Issuer a recommendation for bid award in accordance with the lowest responsive and responsible standard required by Ohio Revised Code Section 4582.31. Bids shall be awarded on behalf of the Water Authority Issuer by the Authorized Issuer Representative. In the event that Ohio Revised Code Section 4582.31 does not require or is amended in the future to eliminate public bidding for the Public Improvements, then the bidding requirements and procedures applicable to the City shall apply. Copies of all contracts executed as a result of an awarded bid shall be provided to the City promptly upon execution. Any contract with a contractor performing Work shall be signed by the Construction Agent and the Authorized Issuer Representative, shall be accompanied by or refer to the plans and specifications for the Work to be performed under that routinely perform work within contract, shall be executed in triplicate, and shall include the scope of Covered Work provisions set forth in such areaExhibit D attached hereto and the other provisions to be included by the Construction Agent in construction contracts as described in this Cooperative Agreement.
